The contract between NexDine and the restaurants that use it. The full terms are with our Australian legal counsel ahead of general availability. This page tells you what's covered today and how pilot operators are contracted.

Why this page isn't the full document
We don't publish legal copy until a lawyer signs it.
Publishing made-up terms creates real legal risk for both us and our operators. Instead, every pilot signs a bilateral contract with Divergent Digital Studio Pty Ltd that covers exactly what the public terms will cover — drafted by counsel, reviewed by the operator, signed by both parties.
- No clickwrap until counsel has signed off — for the protection of the operator.
- Bilateral contract is sent to the operator before any data is moved or any pricing is charged.
- The contract is plain English where it can be and precise where it must be — same standard we'll apply to the public terms.
- When the public terms publish, every pilot operator will be notified — and given the option to keep the bilateral contract or move to the published terms.
What the published terms will cover

Subscription & pricing
Per-venue platform fee, payment terms, locked-in pricing for the pilot cohort, and how price increases are signalled.
Data ownership & portability
Operator owns their data. Export in standard formats — bookings, customers, menu, accounting journals, audit log — no hostage tactics.
Acceptable use
What the platform may and may not be used for. Restrictions tied to Australian law and the obligations operators carry.
Service levels & uptime
Target uptime, response targets, planned maintenance windows, and how incidents are communicated.
Liability & indemnity
The limits, the carve-outs, and the obligations on both sides — drafted by counsel, not by marketing.
Termination
How either party ends the relationship, notice periods, and the data export window on the way out.
Governing law
Victoria, Australia. Disputes resolved under Australian law and the Australian Consumer Law where applicable.
